Terms and Conditions
These Terms and Conditions govern the contractual relationship between Kohex and its clients for the provision of management consulting, professional coaching and training services.
Article 1 - Definitions
Kohex: Management consulting, professional coaching and training company.
Client: Any individual or legal entity ordering services from Kohex.
Services: Consulting, coaching, training and IT services offered by Kohex.
Quote: Contractual document detailing the proposed services and their pricing conditions.
Article 2 - Scope of Application
These Terms and Conditions apply to all services provided by Kohex, whether delivered in person or remotely. They take precedence over any other general or specific conditions of the client, unless otherwise agreed in writing.

3.1 Management Consulting
- Organizational assessment
- Change management support
- Process optimization
- Implementation of agile frameworks (SAFe, unFIX, etc.)
3.2 Professional Coaching
- Individual coaching
- Team coaching
- Leadership development
- Professional transition support
3.3 Training
- Certified training (SAFe, unFIX, Agility)
- Custom training
- Practical workshops
- Post-training support
3.4 IT Services
- Collective intelligence workshops
- Team facilitation
- Strategic meeting facilitation
- Collective intelligence workshops
Article 4 - Orders and Quotes
4.1 Ordering Process
All service orders are subject to a detailed quote specifying:
- Nature and scope of services
- Execution methods
- Delivery timelines
- Price and payment conditions
- Expected deliverables
4.2 Quote Acceptance
Quotes are valid for 30 days from their issue date. Acceptance of the quote by the client, by signature or written agreement, constitutes a firm and final order.
Article 5 - Pricing and Payment Terms
5.1 Pricing
Prices are expressed in euros, excluding taxes for professional clients subject to VAT, including all taxes for individuals. They are firm and final unless otherwise stated in the quote.
5.2 Payment Methods
- Individual training: Full payment upon order
- Inter-company training: 50% upon order, balance before training begins
- Consulting/coaching missions: According to schedule defined in quote
- Workshop facilitation: 50% upon order, balance at end of service
5.3 Late Payment
In case of late payment, penalties of 3 times the legal interest rate will be applied, as well as a flat-rate indemnity of €40 for collection costs.
Article 6 - Service Execution
6.1 Timelines
Execution timelines are given as an indication and run from acceptance of the quote and receipt of the first installment where applicable.
6.2 Client Obligations
The client undertakes to:
- Provide all information necessary for proper service execution
- Make available the required technical and human resources
- Respect technical prerequisites for remote training
- Inform Kohex of any changes that may affect the service
Article 7 - Training
7.1 Registration Process
Training registrations are confirmed by sending a training agreement or professional training contract.
7.2 Cancellation by Client
- More than 30 days before: Full refund
- Between 15 and 30 days: 50% retention
- Less than 15 days: No refund
7.3 Cancellation by Kohex
Kohex reserves the right to cancel training due to insufficient participants (minimum 4 people for inter-company training). In this case, clients are notified at least 15 days in advance and fully refunded.
7.4 Certification
Certifications are issued by certifying organizations (Scaled Agile, ICAgile, unFIX) according to their own conditions. Kohex does not guarantee certification achievement.
Article 8 - Intellectual Property
8.1 Training Materials
Training materials remain the property of Kohex or its certifying partners. Their use is limited to the client's personal or internal needs.
8.2 Consulting Deliverables
Deliverables produced as part of consulting missions belong to the client, unless otherwise stated in the contract. Kohex retains the right to use developed methodologies and know-how.
Article 9 - Confidentiality
Kohex undertakes to respect the confidentiality of all information communicated by the client as part of the service. This obligation continues for 5 years after the end of the mission.
Article 10 - Liability and Warranties
10.1 Warranties
Kohex guarantees that its services are provided with the care and diligence required by professional standards and best practices.
10.2 Limitation of Liability
Kohex's liability is limited to the amount of sums actually received under the relevant contract. Kohex cannot be held responsible for indirect damages.
Article 11 - Force Majeure
Force majeure events include all unforeseeable, irresistible events external to the parties (pandemic, natural disaster, strike, etc.) preventing normal contract execution.
Article 12 - Termination
In case of serious breach by either party of its contractual obligations, the other party may terminate the contract automatically after formal notice remaining without effect for 15 days.
Article 13 - Personal Data Protection
Kohex undertakes to comply with current regulations regarding personal data protection (GDPR). Collected data is used only for service execution and is not transmitted to third parties without prior agreement.
Article 14 - Applicable Law and Jurisdiction
These Terms and Conditions are subject to French law. In case of dispute, parties will endeavor to find an amicable solution. Otherwise, French courts will have sole jurisdiction.
Article 15 - Miscellaneous Provisions
If any clause of these Terms and Conditions were declared null or unenforceable, other clauses would retain their full validity. These Terms and Conditions may be modified at any time, with new conditions applying to contracts concluded subsequently.
